How the distribution business earns
Multi-Chem describes its IT Distribution business as its main business. M.Tech companies distribute third-party cybersecurity, network-performance and related IT hardware and software through resellers, which then serve end-users. The Group also describes maintenance, professional services and certified IT training alongside distribution. All currency figures in this page are Singapore dollars unless stated otherwise.
The FY2025 annual report presents both the IT Distribution and PCB-related activities. PCB revenue was S$425,000 in FY2025, compared with S$1.6m in FY2024. The annual report attributes the decline to the 2025 factory closure and the earlier disposal of mechanical drilling machines. This residual means the FY2025 reporting perimeter was not simply a single operating line.
FY2025 revenue was S$653.9m, down 4.4% from S$683.7m in FY2024. Profit before tax was S$33.0m and profit after tax was S$26.4m. The annual report attributes the lower revenue mainly to sales volume and US-dollar translation, and describes lower gross profit, higher inventory-obsolescence allowance and higher finance costs among the factors affecting profit.
In 1H2026, revenue rose 15.1% to S$346.4m and gross profit rose to S$49.0m from S$44.4m. Gross profit as a share of revenue was 14.15%, compared with 14.77% in 1H2025. Profit after tax rose 5.6% to S$15.0m: management cites higher gross profit and lower net foreign-exchange loss, partly offset by costs, while income tax rose to S$4.381m from S$2.842m.

Cash generation did not cover the half-year dividend
At 30 June 2026, gross cash and bank balances were S$89.341m, comprising S$2.932m of fixed deposits and S$86.409m of cash and bank balances. Deducting S$47,000 of pledged fixed deposits gives S$89.294m of cash and cash equivalents in the consolidated cash-flow statement.
For 1H2026, net cash generated from operating activities was S$10.683m and dividends paid to owners were S$18.019m. The issuer says the period-on-period decrease in group cash and cash equivalents was mainly due to dividends paid, net of cash generated from operations. This compares two reported half-year cash-flow lines; it does not establish a recurring run rate.
Receivables, support obligations and payables matter to cash
At 31 December 2025, third-party trade receivables were S$193.484m after a S$4.923m loss allowance. The auditor identified expected credit losses on third-party trade receivables as a key audit matter. At 30 June 2026, gross trade receivables were S$223.577m and the loss allowance was S$3.928m; the half-year statement reports an S$831,000 reversal of allowance on third-party trade receivables and contract assets.
The post-sales technical-support provision was S$26.840m at 31 December 2025 and S$29.787m at 30 June 2026. The annual report says its separate presentation was a reclassification from accrued operating expenses, but it also reports S$26.504m of FY2025 provisions made and S$24.022m utilised. The reclassification therefore does not mean that the whole reported balance arose without FY2025 obligation movements.
The annual report describes non-current vendor payables arising from revenue contracts with a significant financing component. They were S$21.718m at 31 December 2025, due within two to six years; finance costs included S$3.497m of interest accretion on non-current payables. Non-current trade payables were S$40.106m at 30 June 2026.
The reported net-debt measure is broader than borrowings
The Group’s capital-management disclosure gives net debt of S$74.252m at 31 December 2025: trade and other payables of S$172.305m plus lease liabilities of S$1.441m less cash and bank balances of S$99.494m. The reported gearing ratio is 33%, calculated against net debt plus equity. This is the issuer’s own definition; it includes all trade and other payables and is not a conventional bank-borrowing net-debt ratio.
The 1H2026 borrowing note shows no secured or unsecured bank borrowings repayable within one year or after one year at 30 June 2026 or 31 December 2025. Interest income in the reported results should not be read simply as cash yield: the notes also include financing effects, while finance costs include accretion on the non-current payables.
Group cash and parent cash are different perimeters
The Company-level statement at 30 June 2026 shows S$2.574m of fixed deposits and S$1.121m of cash and bank balances, totalling S$3.695m. At 31 December 2025, Company cash and bank balances were S$20.293m. Management attributes the Company-level decrease mainly to dividends paid.
Company trade and other receivables were S$67.328m at 30 June 2026, compared with S$36.371m at 31 December 2025. Management says the increase was mainly due to dividend receivables and expenses recharged to subsidiaries. The annual report separately says S$4.505m of cash held with PRC subsidiaries at year-end was subject to local exchange-control regulations on capital export other than through dividends.
The annual report discloses two tax matters involving M.Tech Solutions (India) Pvt. Ltd. One is a Cenvat Credit order for INR48,678,500, about S$677,000 including interest and penalty. The other is a customs demand for INR624,265,404, about S$8.677m, involving classification and valuation of imported products. The subsidiary filed writ petitions concerning both matters with the High Court of Karnataka.
The report says the legal adviser considered the company to have a strong case on merits, based partly on past rulings for similar issues, and that both petitions remained pending. These reported matters are not linked by the documents used here to the September CPIB announcement.
The FY2023 annual report carried a qualified audit opinion over S$2.137m of marketing and promotional payment made through two employees to an employee of a vendor. The auditor said sufficient appropriate audit evidence had not been obtained over the commercial substance and business purpose of the payment.
The FY2024 annual report describes the inquiry results announced on 20 December 2024. The Company reported that, on the balance of probabilities, the payment was bona fide and that the inquiry made no finding of lack of probity, personal gain, wrongful benefit or financial loss; it recommended anti-fraud, marketing and standard-operating-procedure controls, which management was reviewing for implementation at the financial-statement date. The FY2024 and FY2025 audit opinions were unmodified. The September 2026 announcement does not identify whether its matter concerns those same transactions.
The Audit and Risk Management Committee said on 17 September 2026 that it had been informed by the Group COO that the CEO and COO had been interviewed by CPIB, asked to provide bail, and to surrender passports and mobile phones. It said two senior sales employees had also been interviewed. The Committee said it did not know whether those employees had been asked to surrender passports or mobile phones.
The Committee also said CPIB attended Group premises and required accounts from an earlier year to date, employee and vendor-related claims documents, and an agreement with the same vendor. It stated that it was not directly privy to the ongoing matter, could not verify the communicated information, and was seeking further information. The FY2025 annual report contains an unmodified auditor’s opinion; the half-year figures were neither audited nor reviewed.
